1. Who we are

This website, fjvtech.com (the “Site”), is owned and operated by FJV Tech LLC, a Wyoming limited liability company with its registered office at 30 N Gould St Ste N, Sheridan, WY 82801, United States (“FJV Tech”, “we”, “us” or “our”).

These Terms of Use (the “Terms”) govern your access to and use of the Site. By accessing or using the Site you agree to these Terms. If you do not agree, please do not use the Site.

2. Scope: the Site vs. our products

These Terms apply only to the Site. Our software products — such as Chately (chately.co) — are provided under their own terms of service, privacy policies and order forms. If you use one of our products, the product’s own terms govern that use and prevail over these Terms in case of conflict.

Our Acceptable Use Policy applies to all FJV Tech services unless a product’s terms say otherwise.

3. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction if higher, to contact us or enter into any agreement with us through the Site. If you use the Site on behalf of a company or other organization, you represent that you are authorized to bind it to these Terms.

4. Permitted use

You may browse the Site and use its content for your personal or internal business information. You agree not to:

• use the Site in any way that violates applicable law or regulation;
• attempt to gain unauthorized access to the Site, its servers or any connected system;
• interfere with or disrupt the Site, including through viruses, malicious code, denial-of-service attacks or excessive automated requests;
• scrape, harvest or collect information from the Site by automated means beyond what is permitted by our robots.txt, except for standard search-engine indexing;
• misrepresent your identity or affiliation with any person or organization, or impersonate FJV Tech;
• use the Site to send unsolicited commercial communications.

5. Intellectual property

The Site and its content — including text, graphics, logos, the “FJV Tech” and “Chately” names and marks, product screenshots, page layouts and source code — are owned by FJV Tech or its licensors and are protected by copyright, trademark and other intellectual-property laws.

Except as expressly allowed in these Terms, you may not copy, reproduce, modify, distribute, publicly display or create derivative works from the Site or its content without our prior written permission. You may share links to the Site and quote short excerpts with attribution.

Nothing in these Terms grants you any license to use our trademarks, logos or brand features.

6. Messages and feedback you send us

When you contact us (for example by email or through the contact form, which opens your own email app), you are responsible for the content of your message and must not include information you are not entitled to share. We handle the personal data in your message as described in our Privacy Policy.

If you send us ideas, suggestions or feedback about our products or the Site, you grant us a worldwide, royalty-free, perpetual and irrevocable license to use them for any purpose, without obligation to you. Please do not send us confidential information unless we have signed a written confidentiality agreement.

Content on the Site is provided for general information about FJV Tech and its products. It is not legal, financial, technical or other professional advice. Product descriptions, features and availability may change without notice; the product’s own documentation and terms are authoritative.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error-free, or that any defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, FJV Tech and its members, managers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of, or inability to use, the Site.

Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer-protection rights.

11. Indemnification

You agree to indemnify and hold harmless FJV Tech and its members, managers, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site.

12. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and you and we consent to their personal jurisdiction. If you are a consumer, this clause does not deprive you of the protection of mandatory rules of the country where you live.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. Material changes take effect when posted on the Site; your continued use of the Site after that means you accept the updated Terms.

14. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions stay in full force. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms are the entire agreement between you and us regarding the Site.

If these Terms are available in more than one language, the English version prevails in case of inconsistency, to the extent permitted by law.
